    On July 13, 2006, Cendant says it will distribute on July 31 all of the common stock of Wyndham and Realogy, a total of about 1 billion shares, to its stockholders of record as of July 21. The distribution breaks down to one share of Wyndham common stock (roughly 200 million shares) for every five shares of Cendant common stock and one share of Realogy common stock for every four shares of Cendant common stock (roughly 250 million shares). Basically leave it with little more than its Avis and Budget car rental businesses. The company will then look into a 1-for-10 reverse split, which would prop up the share price tenfold while reducing the number of shares outstanding from roughly a billion to 100 million.

    On June 30, Cendant said it would sell its travel services division Travelport to the Blackstone Group for about $4.3 billion in cash and use the money to reduce debt allocated to Wyndham and Realogy. Debt levels for Wyndham and Realogy are expected to be around $600 million and $750 million, respectively.

    Wyndham and Realogy have applied to list their stocks on the New York Stock Exchange under symbols "WYN" and "H," respectively.

    Wyndham will contain 3 branches
    Hotel (Wyndham Hotel Group) offers upscale hotel and resort accommodations throughout the United States, Canada, Mexico and the Caribbean. All hotels are independently owned and either franchised or managed by an affiliate of Wyndham Hotels and Resorts.

    Wyndham Vacation Ownership Inc. (Parent company of FF and TW) is the TS branch. It includes marketing and sales of vacation ownership interests, consumer financing in conjunction with the purchase of vacation ownership interests, property management services to property owners' associations, and development and acquisition of vacation ownership resorts.


    RCI Global Vacation Network, contains RCI Global Vacation Network, is the world's largest vacation exchange network and among the world's largest global marketer of vacation rental properties.

    What happened to the other lodging chains?

    What happened to Ramada, Howard Johnson, Days Inn, Super 8, Travelodge, Knights Inn, and Wingate Inn? Are they in a different part of the company or are they part of Wyndham? I would not consider all of these "upscale" hotels.

      All these hotel chain are part of Wyndham. It is like Ford or GE that has all the brands cover from the highest quality to the most economic. From what I read, they have similar operation model as Wyndham (i.e., the cxompany don't own any hotel properties). That probably is one of the reason when they purchase Wyndham, they only purchase the name right and management part, there is no real hotel property in their purchase.

      The new stock probably is around $30 range, so if you like, you can try to buy it and become a real owner of it.

          At this moment, I don't think any FF or WM resorts will be rebranded to Wyndham. Today, I believe there are about several resorts (12??) under Wyndham name. I Know some of them are with Tempus Resorts International, Ltd (the one in Orlando is owned by them), I don't know exact the term when they (CD) purchase the name right, so have no idea what will happen to these resorts. But FF and TW will still be the one that build, own and sell these resorts. In the future, they may create a Wyndham manage group that manage the resort and sell these franchise to the investor. So they only need to collect the loyal fee and reduce their risk. But once resort is sold, and the right assigned to FSP trust, it will be quite an effort to change it to other entity.

            Maybe some Fairfields will become Wyndhams?

              Is the rebranding worth it?


              I wonder if rebranding to Wyndham is a good thing for the resort owners. Sure there confusion in the market place because Marriott has the Fairfield Inn brand. But there would have to be a payback to the owners at the individual resorts . If Wyndham paid to change their signage, etc. then OK. If they want to ram it down the throats of the individual POAs, I'm not interested. After all, there is still no third party representation on the Trust Board - it's all FF employees.

                Believe it or not, a Brand is a very powerful thing. I don't know if it's worth it. Cendant thought so, so they spent (I believe) over $100M for the brand.

                Think about it. Wyndham is a luxury brand and will be compared with Marriott, Hyatt, Starwood and Hilton. If the timeshares just changed names and changed nothing else, it would increase the resale value of those timeshares due to name recognition.

                Now, Wyndham can't just change the name of Fairfield and WorldMark. They don't own it. The owners do. Sometimes even they forget that (intentionally).

                WorldMark owners own WorldMark. The resorts are called WorldMark by Trendwest. It could become WorldMark by Wyndham. But, I doubt it. It's more likely that they will create a new club branded as Wyndham.

                  As I said elsewhere, Jenny is at Fairfield Nashville and she was told by staff there that today is the day they become Wyndham and they will not be affiliated with RCI any more.

                  My crystal ball said that is not true. It said, today is the deadline to break off from Cendant and we all become Wyndham today.

                      There is a lot of confusion surrounding this, not at all reduced by small talk by resort people at the lower end of the food chain.

                      My crystal ball says it is getting more than 30 emails a day. It summed it up best when it said, "We are all Wyndham now."

                      By that it meant many of those companies we know and love, including Wyndham Hotels and Resorts, Ramada, Days Inn, Super 8, TripRewards, RCI, Landal GreenParks, English Country Cottages, Novasol, Fairfield and Trendwest.

                      These companies were formerly under the big umbrella known as Cendant and are now under a smaller umbrella known as Wyndham Worldwide.

                      There is no reason to assume that prior relationships among them will change, such as Fairfield owners exchanging through RCI and RCI owners exchanging into Fairfield.

                      It would be nice if they would encourage more interaction. Say if you could not get an exchange into an area when you wanted it, they could offer a deal at a hotel/motel in the family.

                        The resort folks are always saying their interpretation of whatever is going on as well as the sales folks but most times it is just that, their interpretation. You should hear some of the tales we heard from FF folks at Newport, Grand Desert Las Vegas and Flagstaff concerning the meaning of the the Wyndham acquisition. They all just spin things any way or just blatently start with a small truth and make up the rest that they don't know.
                        From what I understand, there is no way that Fairfield is going to disassociate with RCI. Even after the spinoff they are still basically the same company for all practical purposes.
